Intel DH67BL or Gigabyte H77D3H for a HTPC?

I need help with choosing a MOBO , Processor, Case for my new HTPC build.

I have a spare MOBO lying, Intel DH67BL and my computer's MOBO is Gigabyte H77D3h I want to build a HTPC separately. which MOBO do I use? I can use either of them, please suggest a good case, processor for the HTPC build.

I'm planning to get Edifier DA5000Pro to hook it up with my HTPC, any other choices ? budget is 15k Max.

I will connect the speakers to my computer, now If I play TV how do I get the sound? should I connect the speaker to tv? if I do so , will I get surround sound?

PSU: Seasonic 300W

I'm concerned about the audio, my initial plan is to connect Edifier DA5000Pro to the HTPC. Is this a good approach.

Except for intro 4400 graphics, the older ones struggle for fullhd playback I believe. But my info may be outdated.
 
If gaming is not a concern and 3D is not desirable at this point then both will play 1080p 2D very well. Just curious what are the individual processors on these boards that you already have? However if you plan to upgrade to 4K in future I would suggest to use the Gigabyte one as it seems to have pci-e 3.0 for higher bandwidth although I am not 100% certain if 4K / 8K etc can also run flawlessly on pcie-2.0 based external GPUs

Regarding your question about edifier and TV-out, the edifier model accepts only 5.1 RCA inputs which I have never heard that either TV or your PC Mobo outputs directly. By default both TV and Mobo will have stereo output which will not give surround effect. So for TV you need to see if there is optical out and use one of these to convert to separate 5.1 channels and then feed to your edifier. Same for PC you need to buy either a pcie sound card that outputs 5.1 analogue out or a separate Front Panel HD Audio module to output 5.1 discrete analogue outputs which can be fed to 5.1 input of edifier.

A simpler solution can be to extend your budget to 25K and buy an Yamaha YHT series AVR which has multiple HDMI inputs.
